Tenzing Tunden is an associate in the Firm’s Tax and Corporate groups.

Tenzing advises clients on the tax aspects of mergers and acquisitions, reorganizations, spinoffs, deferred rollovers, equity financing, executive compensation structures, capital market transactions, and joint ventures.  Tenzing represents clients across the business lifecycle, from formation, financing, restructuring, mergers and acquisitions, and succession planning, serving as their tax and corporate counsel.  Tenzing also has an active practice focused on advising nonprofits on formation, compliance, and applying to the IRS for tax-exempt status.

Prior to joining Weintraub, Tenzing worked at a tax law firm in San Francisco where his practice was focused on federal and international tax planning, tax controversy, FATCA compliance, and structuring and drafting intercompany agreements.  Tenzing developed a specialty in the taxation and structuring of litigation settlements, judgments, and litigation finance. Tenzing has drafted over 100 “comfort” and contractual tax opinions for plaintiffs, defendants, and law firms in cases spanning employment litigation, whistleblower/ False Claims Acts litigation, toxic tort, and business litigation.  Tenzing has also advised defendants and accountants on tax reporting and withholding obligations on settlements and judgments.

Although Tenzing’s practice is mostly transactional, he has extensive experience in federal and state tax controversies and litigation.  He has represented clients from the beginning of the audit examination, through appeals and litigation in the U.S. Tax Court, and in negotiating settlements with the IRS and California.  Tenzing has successfully negotiated and obtained full or partial concessions in cases involving residency and domicile, sales tax, 1031 Drop and Swap exchanges, and employment tax.

A native of Los Angeles, Tenzing received his undergraduate degree in accounting from the University of Arizona.  Tenzing received his J.D. from the University of California, Davis School of Law and his LL.M. in taxation from New York University School of Law.  At NYU Tenzing was the recipient of the Deans Graduate Award and the Lewis R. Steinberg Tax Law Review scholarship.
